1. Scope

These Terms of Service govern the supply of medical equipment, consumables, installation services, maintenance services, and training provided by ACROMED Healthcare Technologies Limited ("ACROMED", "we", "us", "our") to the purchaser ("Client", "you", "your"). By placing an order or engaging our services, you agree to these terms.

2. Orders and Quotations

Quotations are valid for 30 days from the date of issue unless stated otherwise. Prices quoted are in Uganda Shillings (UGX) and exclude Value Added Tax (VAT) unless otherwise specified. An order is considered confirmed only after we issue a written order acknowledgment or invoice. We reserve the right to adjust pricing if the manufacturer's prices change before order confirmation.

3. Payment Terms

Payment is due as specified on the invoice. Standard payment terms require full payment before delivery for stock items. For special orders and imported equipment, a deposit of 50% to 70% may be required, with the balance due before delivery. Instalment payment plans are available subject to a written agreement. Late payments may incur interest at 2% per month on the outstanding balance.

4. Delivery and Risk

Delivery timelines are estimates and not guaranteed. We are not liable for delays caused by customs clearance, shipping disruptions, or events beyond our reasonable control. Risk of loss or damage to equipment passes to the Client upon delivery at the agreed location. The Client must inspect all deliveries immediately and report any damage or discrepancies in writing within 48 hours of receipt.

5. Warranty

All equipment is covered by a minimum 12-month manufacturer's warranty against manufacturing defects, commencing from the date of delivery. Extended warranty periods are available on selected products as specified in the quotation. Warranty does not cover consumables, normal wear and tear, damage from improper use, power surges, unauthorised modifications, or repairs carried out by unauthorised personnel. Warranty claims must be reported in writing with a description of the issue. ACROMED will arrange diagnosis and repair at the Client's facility. If on-site repair is not possible, the Client must make the equipment available for collection at a location agreed with our service team.

6. Installation and Training

Installation services include site assessment, equipment setup, calibration, performance testing, and basic operator training. The Client is responsible for preparing the installation site including adequate space, power supply, network connectivity, and any structural modifications required. Additional training sessions beyond the standard package are charged at our prevailing hourly rate plus travel expenses.

7. Limitation of Liability

To the maximum extent permitted by law, ACROMED's total liability arising from or related to the supply of equipment or services shall not exceed the purchase price paid by the Client for the specific equipment or service giving rise to the claim. ACROMED shall not be liable for any indirect, incidental, consequential, or special damages including but not limited to loss of revenue, loss of profits, business interruption, or patient care costs.

8. Governing Law

These terms are governed by the laws of the Republic of Uganda. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
